The closed-end investment company (CEIC) is a company limited by shares whose sole purpose is to operate a collective investment scheme and whose shareholders do not have to be qualified as defined in CISA Article 10 paragraph 3, and is not listed on a Swiss stock market.
The structure of the CEIC is presented as follows:
- Company limited by shares pursuant to CO 620 ff.
- Purpose = collective investment scheme
- Group of shareholders = neither quantitative nor qualitative restrictions
- Registered shares (mandatory)
- Investment rules
- regulated by CISA
- Approval
- Authorisation
- Monitoring by FINMA
